These Terms of Service ("Terms") govern your access to and use of Pravvo's payment processing platform, including our website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.
1. Definitions
"Pravvo" refers to Pravvo Technologies Limited, a company registered in England and Wales with registered office at 20, Wenlock Road, London, N1 7GU, United Kingdom.
"Merchant" or "You" refers to any business or individual using Pravvo's Service to accept payments or manage payment operations.
"Customer" refers to individuals or entities making payments to Merchants through Pravvo.
"Payment Services" refers to our payment processing, payment request generation, bank account linking, and related financial services.
2. Eligibility and Account Registration
2.1 Eligibility: To use Pravvo's Service, you must: (a) be at least 18 years old; (b) be legally capable of entering into binding contracts; (c) operate a legitimate business; (d) comply with all applicable laws and regulations in your jurisdiction; and (e) not be prohibited from using payment processing services.
2.2 Account Creation: You must create an account to use our Payment Services. During registration, you agree to provide accurate, current, and complete information including your legal name, business details, date of birth, email address, phone number, and bank account information. You must be verified through our email and phone verification process before accessing certain features.
2.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@pravvo.com of any unauthorized use or security breach.
2.4 Business Information: You must provide accurate business information including your business name, address, and business type. You authorize us to verify this information through third-party services.
3. Payment Services
3.1 Payment Processing: Pravvo enables you to accept instant payments from Customers through bank-to-bank transfers. We partner with regulated payment service providers, including Finexer, to facilitate these transactions.
3.2 Payment Requests: You may generate payment request links to send to Customers. Each payment request includes transaction details, amount, currency, and an expiration period. Payment requests are uniquely identified and tracked through our system.
3.3 Bank Account Linking: You may link one or more bank accounts to receive payments. You must verify ownership of any linked bank accounts. You may designate one account as your default receiving account. You are responsible for ensuring the accuracy of bank account details provided.
3.4 Service Catalog: You may create a catalog of services or products within Pravvo to streamline payment request creation. All service information you provide must be accurate and not misleading.
3.5 Transaction Limits: We may impose transaction limits based on your account status, verification level, and subscription tier. We reserve the right to modify these limits at our discretion.
4. Fees and Subscriptions
4.1 Subscription Plans: Pravvo offers various subscription plans with different features and transaction limits. Plan details, pricing, and features are available on our website and in our mobile application.
4.2 Free Trial: New Merchants may receive a limited free trial period. During this trial, certain features may be restricted or unavailable.
4.3 Payment of Fees: Subscription fees are charged in accordance with your selected plan. All fees are non-refundable unless otherwise stated or required by law.
4.4 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your designated payment method for recurring fees.
4.5 Subscription Expiration: If your subscription expires or is cancelled, you may lose access to premium features. We may suspend or restrict your ability to create payment requests or access certain functionality.
4.6 Changes to Fees: We reserve the right to change our fees and pricing with 30 days' notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.
5. Acceptable Use
5.1 Prohibited Activities: You may not use Pravvo to: (a) conduct illegal activities; (b) sell prohibited goods or services; (c) engage in fraudulent or deceptive practices; (d) process payments for high-risk businesses without our prior approval; (e) violate any laws or regulations; (f) infringe intellectual property rights; (g) harass, abuse, or harm others; (h) transmit viruses or malicious code; or (i) interfere with the Service's operation.
5.2 Prohibited Industries: Without limitation to the above, Pravvo prohibits use for: illegal drugs, weapons, gambling (where prohibited), adult content, money laundering, terrorist financing, pyramid schemes, or any activity that violates our risk and compliance policies.
5.3 Compliance: You must comply with all applicable laws including anti-money laundering (AML), counter-terrorist financing (CTF), data protection, and consumer protection regulations.
6. Data and Privacy
6.1 Privacy Policy: Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
6.2 Customer Data: You are responsible for obtaining all necessary consents from Customers to share their information with Pravvo for payment processing purposes.
6.3 Data Security: We implement industry-standard security measures to protect your data. However, no system is completely secure, and you acknowledge the inherent risks of internet transmission.
7. Intellectual Property
7.1 Pravvo's IP: All intellectual property rights in the Service, including software, designs, trademarks, logos, and content, are owned by Pravvo or our licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.
7.2 Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended business purposes, subject to these Terms.
7.3 Feedback: Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without compensation or attribution.
8. Dispute Resolution and Chargebacks
8.1 Customer Disputes: You are responsible for resolving disputes with your Customers. We may provide transaction information to assist in dispute resolution but are not obligated to mediate disputes.
8.2 Refunds: You are responsible for processing refunds to Customers in accordance with your refund policy and applicable laws. We may facilitate refunds through our payment partners.
8.3 Reserve Rights: We reserve the right to hold funds in reserve if we determine there is a heightened risk of disputes, chargebacks, or other losses.
9. Termination and Suspension
9.1 Termination by You: You may terminate your account at any time by contacting support@pravvo.com. Termination does not relieve you of obligations for fees already incurred or transactions already initiated.
9.2 Termination by Pravvo: We may terminate or suspend your account immediately without notice if: (a) you breach these Terms; (b) we suspect fraudulent or illegal activity; (c) required by law or regulatory authority; (d) your account has been inactive for an extended period; or (e) we cease providing the Service.
9.3 Effects of Termination: Upon termination: (a) your access to the Service will cease; (b) outstanding payment requests may be cancelled; (c) we will process any pending settlements; and (d) provisions intended to survive termination will remain in effect.
10. Disclaimers and Limitations of Liability
10.1 Service "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 No Guarantee: We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for third-party payment provider outages, bank processing delays, or network connectivity issues.
10.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAVVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.
10.4 Liability Cap: In no event shall Pravvo's total liability to you exceed the greater of (a) fees paid by you to Pravvo in the 12 months preceding the claim, or (b) £100.
10.5 Third-Party Services: We are not responsible for the acts or omissions of third-party payment service providers, banks, or other third parties integrated with our Service.
11. Indemnification
You agree to indemnify, defend, and hold harmless Pravvo and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of laws or regulations; (d) disputes with your Customers; or (e) infringement of third-party rights.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction.
13. Changes to Terms
We may modify these Terms at any time by posting updated Terms on our website or notifying you through the Service. Material changes will be communicated via email at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
14. General Provisions
14.1 Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Pravvo regarding the Service.
14.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14.3 No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
14.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or strikes.
